These Terms of Service (the "Terms") govern access to and use of Exposure Watch websites, applications, dashboards, reports, alerts, data displays, evidence packets, and related services (collectively, the "Service"). These Terms are intended for business and organizational customers only.

By creating an account, submitting a free exposure check, enabling monitoring, completing checkout, clicking "I agree," or otherwise using the Service, you agree to these Terms for yourself and, if you use the Service on behalf of an organization, for that organization. If you do not have authority to bind the organization, do not use the Service.

1. Key risk acknowledgments

You acknowledge and agree that:

  1. Exposure Watch is a decision-support tool only.
  2. Exposure Watch is not an emergency response service, 911 service, dispatch service, evacuation system, emergency medical service, clinical service, regulatory compliance service, insurance product, or life-safety system.
  3. The Service does not provide medical, clinical, resident-care, evacuation, shelter-in-place, staffing, transportation, regulatory, legal, engineering, meteorological, geological, air-quality, fire-management, or emergency-management instructions.
  4. You remain solely responsible for emergency planning, emergency response, resident and patient safety, facility operations, staffing, evacuation decisions, shelter decisions, regulatory compliance, and communications with public authorities.
  5. You must monitor official sources, local authorities, emergency-management agencies, facility emergency plans, and professional judgment. You must not rely on Exposure Watch as the sole source for any emergency, life-safety, operational, clinical, regulatory, or public-safety decision.
  6. Public and third-party data feeds may be delayed, unavailable, inaccurate, incomplete, preliminary, mislabeled, wrongly geocoded, or later revised.
  7. Alerts may be delayed, blocked, filtered, undelivered, incomplete, or sent to incorrect or outdated contacts if contact information or third-party channels fail.
  8. No protected health information, patient records, resident-identifiable data, clinical data, medical information, or other sensitive health data may be submitted to the Service.

These acknowledgments are material terms of the bargain between you and Exposure Watch.

2. Definitions

"Customer" means the organization that subscribes to or uses the Service.

"Authorized User" means an employee, contractor, agent, or representative authorized by Customer to use the Service.

"Customer Data" means account data, organization selections, facility selections, alert-recipient information, notification settings, acknowledgments, notes, and other information submitted by or for Customer, excluding Exposure Watch technology, Public Source Data, and Exposure Outputs.

"Facility Data" means facility names, addresses, CMS identifiers, operator information, bed counts, location coordinates, and other facility-related information obtained from public records or Customer-provided facility lists.

"Public Source Data" means hazard, weather, air-quality, fire, flood, earthquake, storm, public-infrastructure, public facility, and similar data obtained from government, public, open-data, or third-party sources.

"Exposure Outputs" means dashboards, exposure rankings, evidence packets, alerts, maps, export files, labels, metrics, observations, and summaries generated by the Service from Customer Data, Facility Data, and Public Source Data.

"Order" means an online checkout, order form, invoice, subscription page, or written order referencing these Terms.

3. Service scope

Exposure Watch checks Customer-selected facility footprints against Public Source Data and presents possible exposure observations, urgency rankings, evidence labels, maps, alerts, and related operational views. The Service is designed to help teams identify and review public hazard signals faster. It does not replace Customer's emergency plans, official alerts, public authority instructions, or professional judgment.

Exposure Watch may offer free exposure checks, demos, trials, beta features, or sample reports. Free, demo, trial, and beta outputs are provided for evaluation only and may be limited, incomplete, non-production, or discontinued at any time.

4. Account registration and authorized users

Customer is responsible for all activity under its accounts and for maintaining accurate account, billing, administrator, facility, and alert-recipient information. Customer must promptly remove users who no longer require access.

Customer must ensure that Authorized Users keep credentials secure, do not share accounts, use only approved authentication methods, and comply with these Terms and all policies incorporated into these Terms.

Exposure Watch may send single-use sign-in links or other authentication messages to account email addresses. Customer is responsible for ensuring that email accounts are secure.

5. No PHI or patient data

Customer must not submit, upload, transmit, type, paste, import, or otherwise provide any protected health information, patient records, resident names, resident identifiers, medical-record information, clinical information, diagnosis information, treatment information, payment-for-care information, health-plan information, or other data that identifies or could reasonably identify a patient or resident.

Customer represents and warrants that Customer Data does not include PHI unless Exposure Watch has separately signed a Business Associate Agreement that expressly authorizes the PHI processing at issue. The standard Service is not designed for PHI and these Terms do not create a HIPAA Business Associate Agreement.

If Exposure Watch believes Customer Data contains PHI or other prohibited sensitive data, Exposure Watch may delete or quarantine the data, suspend access, require remediation, and terminate the account. Exposure Watch has no obligation to store or return prohibited data.

6. Customer responsibilities

Customer is solely responsible for:

  1. emergency planning, response, training, drills, staffing, evacuation, shelter, resident safety, patient safety, and facility operations;
  2. confirming Exposure Outputs against official sources and professional judgment before acting;
  3. determining whether, when, and how to contact public authorities, emergency responders, employees, facility teams, residents, families, vendors, or regulators;
  4. complying with healthcare, privacy, emergency-preparedness, employment, telecommunications, consumer-protection, accessibility, records-retention, and other laws applicable to Customer;
  5. maintaining accurate facility, contact, and alert-recipient information;
  6. obtaining all authorizations, consents, and notices required to send emails, texts, or other alerts to recipients;
  7. securing Customer systems, devices, networks, and email accounts;
  8. reviewing and complying with terms applicable to Public Source Data; and
  9. backing up Customer Data outside the Service as appropriate.

7. Public Source Data and third-party services

Exposure Watch uses Public Source Data and third-party services. Public Source Data and third-party services are controlled by their respective providers, not by Exposure Watch. Exposure Watch does not guarantee the availability, timeliness, accuracy, completeness, precision, suitability, continuity, or error-free operation of Public Source Data or third-party services.

Public Source Data may be preliminary, may change after publication, may include estimated locations or polygons, may include satellite detections rather than confirmed perimeters, may be unavailable because of upstream outages, and may not be suitable for tactical or local-scale decision-making. Customer must review source evidence, timestamps, precision labels, and official sources.

Exposure Watch is not affiliated with, endorsed by, sponsored by, approved by, or certified by any government agency or public-data provider unless expressly stated in a signed writing by Exposure Watch.

8. Alerts and communications

The Service may send email, text, in-app, or other alerts. Alerts are convenience features and are not guaranteed. Alerts may be delayed, filtered, blocked, incomplete, inaccurate, sent to the wrong contact, or not delivered.

Customer must not rely on any single alert channel for urgent, emergency, or life-safety communications. Customer is responsible for maintaining backup communication methods and monitoring official sources.

Text alerts are subject to the SMS Alert Terms. Customer must obtain and maintain all required recipient consents. Recipients must be able to opt out as required by law and messaging-provider rules.

9. Orders, fees, subscriptions, renewals, and taxes

Fees, subscription period, monitored facility count, features, and billing cadence are stated at checkout or in the applicable Order. Unless the Order says otherwise, fees are non-cancelable and non-refundable after the subscription begins, except as required by law or expressly stated in the Billing Policy.

If the Order states that the subscription renews automatically, Customer authorizes recurring charges using the payment method on file until Customer cancels under the Billing Policy. Exposure Watch will disclose the renewal cadence and price before checkout.

Customer is responsible for taxes, duties, and governmental charges except taxes based on Exposure Watch's income. Customer must provide accurate billing information and update payment methods promptly.

Exposure Watch may suspend or terminate access for unpaid amounts, chargebacks, payment failure, misuse, legal risk, security risk, or violation of these Terms.

10. Cancellation and refunds

Cancellation, renewal, non-renewal, and refund rights are described in the Subscription, Billing, Cancellation, and Refund Policy incorporated into these Terms. Customer remains responsible for charges incurred before cancellation takes effect.

11. Acceptable use

Customer and Authorized Users must comply with the Acceptable Use Policy. Without limiting that policy, Customer must not:

  1. use the Service unlawfully or for harmful, deceptive, or abusive purposes;
  2. upload PHI, patient data, sensitive health data, or prohibited sensitive data;
  3. reverse engineer, scrape, crawl, copy, resell, sublicense, or commercially redistribute the Service or Exposure Outputs except as allowed in an Order;
  4. remove source attributions, timestamps, confidence labels, precision labels, or disclaimers;
  5. probe, scan, load test, penetrate, or disrupt the Service without written permission;
  6. interfere with other customers or third-party systems;
  7. use the Service to make automated decisions that produce legal or similarly significant effects about individuals; or
  8. present Exposure Outputs as official government warnings, emergency instructions, medical advice, or guaranteed facts.

12. Customer Data rights

As between the parties, Customer owns Customer Data. Customer grants Exposure Watch a non-exclusive, worldwide license to host, copy, process, transmit, display, analyze, and use Customer Data to provide, secure, support, improve, and operate the Service; prevent misuse; comply with law; and enforce these Terms.

Exposure Watch may create and use aggregated or de-identified data that does not identify Customer or any individual for analytics, benchmarking, product improvement, and business purposes.

13. Exposure Watch intellectual property

Exposure Watch and its licensors own all rights in the Service, software, designs, dashboards, workflows, models, algorithms, code, documentation, templates, user interfaces, product names, trademarks, and know-how. Except for the limited right to use the Service during the subscription term, no rights are transferred to Customer.

Customer may use Exposure Outputs internally for Customer's operations, review, compliance preparation, and emergency-preparedness processes during the subscription term. Customer may share Exposure Outputs with Customer's employees, contractors, insurers, counsel, consultants, regulators, and emergency partners as reasonably necessary for Customer's internal operations, provided Customer preserves source attributions, timestamps, labels, and disclaimers.

14. Feedback

If Customer or Authorized Users provide suggestions, ideas, requests, or feedback, Exposure Watch may use them without restriction or compensation.

15. Privacy and data processing

The Privacy Policy explains how Exposure Watch processes personal information. The Data Processing Addendum applies when Exposure Watch processes personal data on Customer's behalf as a processor/service provider. Customer is responsible for providing notices and obtaining consents required for Customer's users and alert recipients.

16. Security

Exposure Watch will use commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. No system is perfectly secure. Customer is responsible for Customer-controlled systems, devices, credentials, networks, and user behavior.

Customer must promptly notify Exposure Watch of suspected unauthorized access or misuse involving the Service.

17. Confidentiality

Non-public information disclosed by either party that is marked confidential or should reasonably be understood to be confidential is "Confidential Information." Each party will use reasonable care to protect the other party's Confidential Information and will use it only to perform or enforce these Terms. Confidential Information does not include information that is publicly available without breach, independently developed, already known without confidentiality restrictions, or lawfully received from a third party.

18. Disclaimers

THE SERVICE, FREE CHECKS, DEMOS, TRIALS, PUBLIC SOURCE DATA, EXPOSURE OUTPUTS, ALERTS, MAPS, EVIDENCE PACKETS, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.

EXPOSURE WATCH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, RELIABILITY, SECURITY, ERROR-FREE OPERATION, UNINTERRUPTED OPERATION, ALERT DELIVERY, DATA DELIVERY, AND SUITABILITY FOR EMERGENCY, LIFE-SAFETY, CLINICAL, REGULATORY, OPERATIONAL, INSURANCE, OR PUBLIC-SAFETY PURPOSES.

EXPOSURE WATCH DOES NOT WARRANT THAT THE SERVICE WILL IDENTIFY EVERY HAZARD, EVERY EXPOSED FACILITY, EVERY DATA-FEED OUTAGE, EVERY CHANGE IN RISK, OR EVERY RELEVANT OFFICIAL WARNING.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPOSURE WATCH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, DATA PROVIDERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; BUSINESS INTERRUPTION; LOSS OF GOODWILL; COST OF SUBSTITUTE SERVICES; LOSS OR CORRUPTION OF DATA; FACILITY LOSSES; PROPERTY DAMAGE; PERSONAL INJURY; DEATH; RESIDENT, PATIENT, EMPLOYEE, OR THIRD-PARTY HARM; EMERGENCY RESPONSE COSTS; EVACUATION COSTS; REGULATORY FINES; OR DAMAGES ARISING FROM FAILURE TO IDENTIFY A HAZARD, FAILURE TO SEND OR DELIVER AN ALERT, DELAYED DATA, ERRONEOUS DATA, PUBLIC SOURCE DATA, OR CUSTOMER'S USE OF OR RELIANCE ON THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPOSURE WATCH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO EXPOSURE WATCH FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. FOR FREE CHECKS, DEMOS, TRIALS, OR NON-PAID USE, THE CAP IS USD $100.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply to the maximum extent permitted by law.

20. Customer indemnity

Customer will defend, indemnify, and hold harmless Exposure Watch and its affiliates, officers, directors, employees, contractors, licensors, data providers, and service providers from claims, damages, liabilities, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: Customer Data; Customer's use or misuse of the Service; Customer's emergency, life-safety, clinical, regulatory, staffing, evacuation, shelter, communication, or operational decisions; Customer's violation of these Terms; Customer's submission of PHI or prohibited data; Customer's failure to obtain required consents or provide required notices; Customer's violation of law; or Customer's sharing or presentation of Exposure Outputs.

21. Termination

Exposure Watch may suspend or terminate access immediately for security risk, legal risk, non-payment, violation of these Terms, suspected PHI submission, misuse, or harm to the Service or third parties. Customer may stop using the Service at any time, but cancellation and refund rights are governed by the applicable Order and Billing Policy.

Upon termination, Customer's access to the Service will end. Exposure Watch may retain and delete data according to the Privacy Policy, DPA, backup cycles, legal obligations, and internal retention practices.

22. Changes to the Service or Terms

Exposure Watch may update the Service and these Terms from time to time. Material changes will be posted or otherwise notified. Changes apply prospectively unless required by law or necessary for security, compliance, or product operation. Continued use after the effective date of updated Terms constitutes acceptance.

23. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflicts-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction, unless an Order states otherwise.

24. Notices

Legal notices to Exposure Watch must be sent to legal@exposurewatch.co and addressed to Exposure Watch, Inc., Delaware, United States. Operational notices may be sent to alerts@exposurewatch.co. Exposure Watch may provide notices through the Service, by email, or by posting to the website.

25. Order of precedence

If there is a conflict, the following order controls: signed Order, Data Processing Addendum, these Terms, the Billing Policy, the Acceptable Use Policy, the Public Data Disclaimer, the SMS Alert Terms, and other online policies. A purchase order or procurement document issued by Customer does not modify these Terms unless signed by Exposure Watch.

26. Entire agreement

These Terms, the applicable Order, and incorporated policies are the entire agreement between Customer and Exposure Watch for the Service and supersede prior discussions about the Service.
